Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Cognifyx Solutions LLC ("Company," "we," "us," or "our"), a New Mexico limited liability company, governing your access to and use of the CheckerVin platform and associated services. By accessing or using our services, you agree to be bound by these Terms.

2. Services Description

CheckerVin provides vehicle verification services including vehicle history checks, title verification, pre-purchase reports, and related vehicle data services. Our services are designed for business use by automotive industry professionals including dealerships, fleet operators, auto service centers, lenders, and insurance providers.

3. Eligibility

Our services are available exclusively to businesses and business professionals. By using our services, you represent that you are acting on behalf of a legitimate business entity and that you have the authority to bind that entity to these Terms. You must have a permissible use under the Driver's Privacy Protection Act (DPPA) to access vehicle data through our platform.

4. Account Registration

To use our vehicle verification services, you must provide accurate business information. You are responsible for maintaining the confidentiality of any account credentials we provide. You agree to notify us immediately of any unauthorized use of your account.

5. Permitted Use

You agree to use our services only for:

• Legitimate business operations in the automotive industry
• Purposes permitted under the DPPA, NMVTIS regulations, and applicable law
• Internal business decision-making (vehicle acquisition, lending, insurance, fleet management)
• Providing vehicle information to your business customers in connection with legitimate transactions

You agree NOT to:

• Redistribute or resell raw vehicle data to third parties
• Use data for stalking, harassment, or any illegal purpose
• Attempt to circumvent any security measures or access controls
• Exceed your authorized service limits or query volumes
• Misrepresent the source or completeness of vehicle data to end users

6. NMVTIS Compliance

Vehicle history data accessed through our platform includes information from the National Motor Vehicle Title Information System (NMVTIS). You agree to display the required NMVTIS Consumer Access Disclaimer when presenting vehicle history information to consumers. You acknowledge that NMVTIS data may not be complete and that a vehicle history report is not a substitute for an independent vehicle inspection.

7. Pricing and Payment

Pricing is based on your selected plan and usage volume. You agree to pay all fees associated with your account. We reserve the right to modify pricing with 30 days written notice. Prepaid credits do not expire. Refunds are available within 30 days for unused credits only.

8. Data Accuracy Disclaimer

While we strive for accuracy, vehicle history data is sourced from third-party databases and may not be complete. We do not guarantee that our reports contain all information about a vehicle's history. Reports should be used as one factor in business decision-making and are not a substitute for physical vehicle inspection.

9. Intellectual Property

The CheckerVin platform, including its design, features, documentation, and branding, is the intellectual property of Cognifyx Solutions LLC. Your use of our services does not grant you any ownership rights. You may not use our trademarks or branding without prior written approval.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNIFYX SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Cognifyx Solutions LLC, its officers, directors, and employees from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any applicable law or regulation.

12. Termination

Either party may terminate the service relationship with 30 days written notice. We may suspend or terminate access immediately if we reasonably believe you have violated these Terms or applicable law. Upon termination, your API access will be revoked and outstanding balances will become due.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Bernalillo County, New Mexico.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance.
